Jaime Roca

Jaime Roca is the founding partner of ROCA. He has focused on a general practice that integrates the different disciplines of law, highlighting litigation and corporate. Jaime has participated in complex commercial and financial transactions, assisting national and international clients in restructuring, mergers and acquisitions, foreign investment, debt renegotiations and contracts of various natures. He also advises on tax, labor, civil and criminal matters and his practice ranges from banking, finance and the stock market, to arbitration and intellectual property.

In the recent past, he advised the acquisition of one of the main telecommunications companies and the subsequent merger of the main cable television company in the Dominican Republic. The acquisition was achieved after its restructuring under Chapter 11 before the New York courts and after facing in administrative instances the opposition of one of the most important regulating entities of the Dominican State (unique and historical process for the Dominican Republic). Subsequently, he went on to lead all its legal processes in a general manner, including corporate, civil, contentious matters, of all its subsidiaries and related companies. Jaime has been an advisor for foreign and national investment for the acquisition of important agricultural and real estate projects. He has worked extensively in reorganizations, transformations, mergers, splits and complex acquisitions of local companies, including several tourism projects. He actively integrates his general practice experience in different due diligences for the acquisition of assets and companies.

After the liquidation of several financial entities, Jaime participated in the assistance of one of the largest foreign capital formed by multiple investment funds for the acquisition and realization of all types of financial assets. He has been an advisor to industries, banks, businesses and companies facing different needs. He has also served as a lawyer for 21 years in defense of the legal actions tried against the main bank of foreign origin based in the Dominican Republic, as well as in the criminal actions taken against defendants accused of committing crimes against that entity, achieving in its entirety the condemnation of all those imprisoned by the Dominican authorities for such crimes. His litigious practice also includes ample experience in civil liability, asset recovery, enforcement procedures, and realization of assets, commercial and labor issues.

He recently led and supervised, on behalf of an international consortium, all their investments made in Haiti. He has served as advisor to important foreign law firms and colleagues in the representation of their clients' interests, including in the execution of procedures and understanding of Dominican law through arbitration proceedings initiated abroad.

Advised and built the entire contractual framework for the first electronic factoring market established in the Dominican Republic for private offers. His commercial practice includes an intense activity in commercial companies and other acts of commerce. In civil matters, he has served in the constitution and advice of industrial associations and non-profit foundations, wills, trusts & estates and notaries. He has also worked in all aspects related to the status and capacity of people, civil acts and an intense contractual practice.

He was invited as a member, since its incorporation, to the Legal Committee of the American Chamber of Commerce (AMCHAMDR). This committee, belonging to the most important Chamber of Commerce of the country, was created following the signing of the DR-CAFTA to assist and collaborate in the adaptation of the entire legal framework for the implementation of the aforementioned Treaty and has had an impact on the adoption of important legal reforms, such as the law for the implementation of DR-CAFTA, the new law on arbitration, commercial partnerships, among other contributions. This Committee follows and participates actively in all the important transformations of the Dominican legal framework, especially in all those that impact on foreign investment and the business climate.

Jaime is Vice President of the Board of Directors of the Dominican Development Foundation (FDD), the main non-profit institution formed by the leadership of the Dominican business community after the fall of a tyranny that affected the country in the middle of the last century. Its mission is to combat poverty through the promotion of work.
