Jaime Roca is a founding partner of ROCA. He has concentrated on a general practice that integrates various fields, with a focus on litigation and corporate law. Jaime has participated in complex commercial and financial transactions, assisting national and international clients in restructurings, mergers and acquisitions, foreign investment, debt renegotiation, and contracts of diverse nature. In addition, advises on tax, labor, civil and penal matters and his practice comprises from banking, finance, and stock market regulation to arbitration and intellectual property.

In the recent past, he counseled on the acquisition of one of the main telecommunication companies and the subsequent merger with the main cable service provider in the Dominican Republic, which was achieved after a restructuring before New York courts and after having defended it before the relevant administrative bodies against the opposition made by one of the most important organisms of the Dominican state (a unique and historical process for the Dominican Republic). Afterwards, he went on to head all of its legal processes in general, including corporate matters, civil litigation of the holding company and its affiliates. He has acted as consultant on foreign and national investment in the acquisition of important agricultural and real estate projects. He has worked intensely in complex reorganizations, transformation of business associations, mergers, divisions and acquisitions of local companies, including several tourism projects. His general practice is actively integrated in diverse due diligence for the acquisition of assets and businesses.

After the liquidation of several financial institutions, he assisted the largest foreign capital integrated by multiple investment funds in the acquisition and implementation of all types of financial assets. He has represented industries, banks and companies. For over 14 years, he has acted as local counsel for one of the most important foreign banks operating in the country in defending it against all legal actions, in particular criminal actions, having achieved full conviction for those arrested by the Dominican authorities. His litigation practice includes a vast experience in tort law, asset recovery, enforcement procedures, commercial and labor matters.

He recently supervised and headed in the representation of an international consortium with its investments carried out in Haiti. In that regard, he has assisted colleagues of important law firms in the representation of their client’s interests, including the enforcement of procedures and comprehension of Dominican laws for arbitration proceedings instituted abroad.

Moreover, he provided consultancy and created the contractual framework for the first electronic market for factoring established in the Dominican Republic for private offerings. His commercial practice includes an intense activity in commercial companies and acts of commerce. In civil matters, he has served in the incorporation and advising of industrial associations and non-profit organizations, wills, reorganization of assets, and notary. As well, he has worked in all aspects related to the state and capacity of persons, civil acts and an intense contractual activity.

He was invited as a member, since its incorporation, to the Legal Committee of the American Chamber of Commerce (AMCHAMDR). This organization belongs to the most important chamber of commerce in the country, was created upon the signing of the DRCAFTA for assisting and collaborating in the adaptation of the legal framework for the implementation of the aforementioned Treaty and has had an incidence in the adoption of important legal reforms, such as the implementation law of the DRCAFTA, the new arbitration law, the general law on business associations, among other contributions. This Committee actively participates in all important transformations in the Dominican legal framework, especially in those which have an impact on foreign investment and the business climate.

Married and with three children, he is a member of the National Association of Young Entrepreneurs (ANJE), organization in which he served in the Legal Committee, and the Dominican-Puerto Rican chamber. Jaime is vice-secretary of the Board of Directors of the Dominican Development Foundation (FDD), main non-profit organization formed by the leadership of the Dominican entrepreneurship created after the fall of the dictatorship in the middle of last century. Its mission is to fight poverty by promoting work.
